The Compensation Committee consists of four directors, each of whom is independent. The Compensation Committee evaluates the performance of the Chief Executive Officer and other senior executives and determines their compensation, including grants, awards, and bonuses under incentive compensation plans. It administers the Company’s stock option plans and makes recommendations to the board of directors as to incentive compensation plans and equity-based plans, including awards and grants under such plans. In addition, the Compensation Committee is responsible for the establishment of policies dealing with various compensation and employee benefit matters for the Company.
